RS2 Software plc – Interim Directors’ Statement

RS2 Software plc announced that the Group continues to reflect a strong operating and financial performance, for both the software licensing and managed services business.

The Group has increased consultancy and implementation services for its licensing business. The ongoing demand from its clients is due to additional services to those already contracted for.

In Q3 the Group has achieved go live with its first client in Latin America, a contract signed in 2012 and due to the strong relationship with the client the Group will continue to deliver onsite and offsite implementation and consultancy services beyond the signed agreements. Moreover the Group is in process of negotiating a new licensing deal with a client in Europe that is expected to be concluded during the first quarter of 2015.

During the second half of the year the Group has concluded negotiations on one the letters of intent mentioned in our statement dated 13 May 2014 and signed a processing agreement for RS2 Smart Processing with Optimal Payments. Negotiations on the second letter of intent are ongoing and are at an advanced stage. Due to the 

increased demand for its managed services the Group is negotiating new letters of intent to provide services to clients within Europe and North America.

The Group continues to hold a very strong pipeline of potential clients and the Board remains highly committed in delivering the best results to its shareholders and maintains a positive outlook for the year.
