GlobalCapital plc – Appointment of Directors

GlobalCapital plc announced that Mr. Moussa I. Rawat has tendered his resignation from the office of Director and Deputy Chairman of the Company with immediate effect. Mr. Rawat is also stepping down from the post of director on the Company’s subsidiaries. The Board of Directors has accepted Mr. Rawat’s resignation.

The Company also announces that in terms of Article 80 (1) (b) of the Articles of Association, the Board of Directors has unanimously resolved, subject to any regulatory clearance, to appoint Mr. Joseph C. Schembri (holder of identity card number 257050M) of Villa Sorgente, Triq Taht l- Irdum, Santa Marija Estate, Mellieha as a non-executive director of the Company. Mr. Schembri will also act as the Chairman of the Company’s Audit Committee. Mr. Schembri is a fellow of the Chartered and Certified Accountants in UK (FCCA) and a Fellow of the Malta Institute of Accountants. His audit experience spans across a number of industries including banking, insurance, IT and funds. Mr. Schembri occupied the position of Senior Partner of KPMG Malta until September 2012. He acted as audit engagement leader of KPMG and risk management principal for the Libyan firm of KPMG until 2014. Today, he serves as consultant and audit engagement leader of Baker Tilly Sant. There is no matter concerning Mr. Schembri requiring disclosure under listing rules 5.20.5 and 5.20.9.

Furthermore, the Company also wishes to announce that also in terms of Article 80 (1) (b), the Board of Directors has unanimously resolved, subject to any regulatory clearance, to appoint Mario P. Galea (holder of identity card number 0522554M) of 35, Triq tal-Mielah, High Ridge, St. Andrews as non-executive Director of the Company with immediate effect. Mr. Galea will also serve as a member of the Audit Committee. Mr. Galea was the founder, Managing Partner and Chairman of Ernst & Young Malta until he retired in 2012. Mr. Galea is a certified public accountant and auditor, a Fellow of the Association of Chartered Certified Accountants and a Fellow of the Malta Institute of Accountants. He has served as President of the Malta Institute of Accountants and held various other positions in the Institute, Federation des Comptables Européens (FEE) and the Accountancy Board. He currently serves on a number of boards of directors, finance committees and audit committees in various positions including on the board of Mediterranean Investment Holdings plc and Santumas shareholding plc. Mr. Galea has provided audit and professional advice to clients in various sectors including the public sector, banking, insurance and commerce. There is no matter concerning Mr Galea, which requires disclosure under Listing Rule 5.20.5 to Listing Rule 5.20.9.
