AX Real Estate plc – Combined Bond and Share Offer
We are pleased to inform you that AX Real Estate plc announced the issuance of 33,333,333 shares at the offer price of €0.60 per share and €40,000,000 unsecured bonds with a nominal value of €100 per bond issued at par and redeemable in 2032. The unsecured bonds bear interest at the rate of 3.50% per annum on the nominal value of the bonds.
The combined bonds and share offer will be open for subscription by:
- Preferred Applicants (AX Group plc bondholders, AX Investments plc bondholders and AX Group plc employees)
- The General Public
Investors are required to apply for a combination of shares and bonds in order to be considered for any allocation of bonds, unless an application solely for bonds is submitted for a minimum of €250,000.
Investors who would like to apply for the shares only are not required to purchase bonds.
The bond offer will open on the 10th January 2022 and will close on the 31st January 2022 or earlier as may be determined by the company.
Jesmond Mizzi Financial Advisors Ltd (JMFA) is participating in this issue as one of the authorised financial intermediaries and is currently accepting applications for this combined offer. The minimum subscription amount for each application in the public offer has been set at €5,000 with multiples of €100 thereafter and €5,000 worth of shares for existing Jesmond Mizzi Financial Advisors Ltd clients.
AX Real Estate plc will be sending pre-printed applications to the respective AX Group plc bondholders, AX Investments plc bondholders and AX Group plc employees.
